1: NAME

SECTION
2: PURPOSE
|
| To generate appreciation
and enthusiasm in the art of fine quilt making, to provide educational
programs, cultural experiences, historical and current information
in the art and craft of quilting, to hold meetings, seminars and quilting
bees for the education and enjoyment of its members and the general
public. |
| SECTION
3: FISCAL |
| The
revenues of the Guild shall be derived from annual membership dues,
and other means as may be approved by the membership. The fiscal year
of the Guild shall begin July 1 and end June 30th of the next year.

| SECTION
4: MEMBERSHIP REQUIREMENTS |
| Any
person who subscribes to the purposes set out in the By-Laws with
no recourse against this guild, or any officer or member thereof,
is eligible for membership. |
| SECTION
5: CLASSES OF MEMBERSHIP |
| Fully
active voting members shall be any person, who pays annual dues as
determined by general membership at annual meeting, participates in
and supports the projects and activities of the organization. Out-of-town
members and persons under 18 may join at half the membership dues. |
| SECTION
6: VOTING PRIVILEGES |
| Each
member in good standing shall vote in person, and shall be entitled
to one vote in each matter submitted, and one vote for each officer
to be elected. Newsletter members do not have voting privileges. |
| SECTION
7: MEETINGS |
This
guild shall have an annual meeting
in the month of January at a date, time, and place to be designated
by the membership. Business meetings of the membership will be held
at least once a month, at a date and time as set by the membership.

8: QUORUM |
| Any
motion in order to be carried must be approved by the majority of
the membership in good standing, present and voting, provided that
there was a reasonable notice of the meeting. A minimum of 30 days
written notice shall be given on a vote to be taken on any major issue. |
| SECTION
9: BOARD OF DIRECTORS |
| The
officers shall be President, Vice President, Secretary, Treasurer,
and Committee Chairs listed on the newsletter letterhead. This group
will be designated Board of Directors. Only designated Board Members
may vote at Board Meetings. |
| SECTION
10: ELECTIONS |
| The
officers shall be elected by a majority vote for a term of one year.
Names of candidates for officers may be submitted by the general membership
or may be on a volunteer basis. Nominations and voting will occur
at the Annual Meeting in January. Notice will be given in November
of upcoming vacancies in the Board |
| SECTION
11: VACANCY IN OFFICE |
| The
Board of Directors will appoint a member to fulfill the vacant term:
such term will expire at the next Annual meeting. |
| SECTION
12:
COMMITTEES |
| Committee
Chairs will be volunteers approved by the membership at the Annual
meeting. Committees will make recommendations to the membership, which
will vote on such recommendations. |
| SECTION
13: RULES OF ORDER |
| The
latest revised edition of Robert’s Rules of Order shall govern
the conduct of all meetings of the membership and the Board of Directors
in all cases where it is applicable. |
| SECTION
14: DUTIES OF OFFICERS |
- The
President shall be Chairman of the Board; shall preside at all
membership meetings and meetings of the Board of Directors; shall
carry out the collective wishes of the membership; shall be the
primary representative and contact person of the Guild for the
public; shall be coordinator of any information needing to be
released to the Guild.
- The
Vice President shall assist the President in the performance of
her duties; shall preside at the membership meetings or Board
of Directors meetings in the absence, resignation, or removal
from office of the President.
- The
Secretary shall be responsible for the taking and publication
of the minutes of the Meetings and Board of Directors meetings
and shall be responsible for advertising meetings to the media;
shall answer correspondence on behalf of the guild when deemed
necessary by the Board.

The Treasurer shall be responsible for all monies due the Guild
and hold receipts for them; make report of the receipts and expenditures
at each Meeting.
